Certified Skill User Agreement

Effective Date: January 13, 2026

1. Introduction

Welcome to the GuGuk ecosystem ("Platform"), operated by Douyu Technology PTE. LTD. ("Company," "We," or "Our").

This Certified Skill User Agreement ("Agreement") applies to any User who has successfully completed the skill verification process on the Platform ("Certified User" or "You") to provide gaming or social interaction services ("Skill Services") to other Users.

1.1. Acceptance: By applying for or accepting the status of a Certified User, you agree to be bound by this Agreement, the Terms of Use, and the Privacy Policy. 1.2. Voluntary Participation: You acknowledge that your participation as a Certified User is voluntary and does not create an employment, agency, or partnership relationship with the Company.

2. Definitions

Certified User: A User who has passed the Platform’s verification process to showcase specific skills (e.g., gaming proficiency, voice talent) and receive orders from other Users.
Skill Services: The interaction, gaming companionship, or entertainment services provided by the Certified User to other Users through the Platform.
Orders: Requests initiated by other Users to engage the Skill Services of a Certified User.

3. Qualification and Status

3.1. Eligibility: To become a Certified User, you must be at least 18 years of age. We strictly prohibit minors from providing Skill Services. 3.2. Verification: You agree to provide accurate, current, and complete information regarding your skills, game ranks, and identity. The Company reserves the right to revoke your certification if any information is found to be false or misleading. 3.3. Independent Contractor Status: You are an independent service provider. You are solely responsible for reporting and paying any applicable taxes on the income generated from your activities on the Platform. You are not entitled to any employee benefits, insurance, or workers' compensation from the Company.

4. Rights and Obligations of Certified User

4.1. Service Standards: You agree to provide Skill Services in a professional, respectful, and timely manner. You must not harass, abuse, or discriminate against any User. 4.2. Compliance with Rules: You must comply with the pricing rules and order flows set by the Platform. You are strictly prohibited from: * Altering pricing mechanisms without authorization. * Demanding extra payments outside the Platform. * Using third-party tools to cheat or manipulate game outcomes. 4.3. Prohibition of Off-Platform Transactions: You agree NOT to induce, encourage, or solicit other Users to conduct transactions offline or on other platforms to evade Platform fees. Any violation of this clause is a material breach of this Agreement. 4.4. Content Responsibility: You are responsible for the content (voice, text, images) you generate during the service. You grant the Company a worldwide, royalty-free license to use such content for promotional and operational purposes. 4.5. Availability: You are responsible for managing your own schedule and availability status on the Platform.

5. Rights and Obligations of the Company

5.1. Platform Provision: We provide the technical infrastructure for you to showcase your skills and connect with Users. 5.2. Fee Deduction: We reserve the right to deduct a service fee (commission) from the earnings generated by your Orders, as per the rate schedule published on the Platform. 5.3. Monitoring and Moderation: We have the right (but not the obligation) to monitor your interactions to ensure safety and compliance. We may remove any content or suspend your status if you violate community standards. 5.4. Dispute Resolution: In the event of a dispute between you and another User regarding an Order, the Company acts as the final arbitrator. You agree to accept the Company's decision regarding refunds or order cancellations.

6. Prohibited Conduct

Certified Users are strictly prohibited from: 6.1. Engaging in any illegal activity, including fraud, money laundering, or promoting prohibited substances. 6.2. Sharing or renting your Account to others. Your Certified status is personal and non-transferable. 6.3. Posting or transmitting content that is sexually explicit, violent, political, or violates public morals. 6.4. Poaching Users to competing platforms.

7. Penalties and Termination

7.1. Violation Handling: If you violate this Agreement, the Company may take the following actions depending on the severity: * Warning and removal of infringing content. * Temporary suspension of Certified status (inability to receive orders). * Permanent ban and confiscation of illicit earnings. * Legal action for damages. 7.2. Financial Penalty: For severe violations such as Off-Platform Transactions or Fraud, the Company reserves the right to deduct up to 100% of the illicit earnings or balance in your Account as liquidated damages. 7.3. Termination: Either party may terminate this Agreement at any time. Upon termination, you will lose your Certified status and must cease providing Skill Services.

8. Confidentiality

You agree not to disclose any confidential information of the Company (including internal policies, algorithm logic, or user data) or private information of other Users obtained during the provision of services.

9. Disclaimer and Limitation of Liability

9.1. The Company does not guarantee a minimum number of Orders or income level. 9.2. To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from your participation as a Certified User.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of this Agreement shall be referred to arbitration in Singapore.

11. Amendments

We may update this Agreement from time to time. Continued use of the Platform as a Certified User after any changes constitutes your acceptance of the new terms.
